The Regulations on Commercial Registrations were amended and came into effect on February 2, 2026. Under this amendment, companies are now permitted to select a date of incorporation that falls on a national holiday or weekend. Previously, the date of incorporation was determined by the date on which the incorporation application was filed with the Legal Affairs Bureau, and therefore had to be a business day.
In practice, we have often received inquiries from clients who wished to establish their companies on specific dates, such as January 1, April 1, or other significant days. As the date of incorporation serves as the company’s official anniversary, this issue has been of particular importance to many clients. With this regulatory amendment, greater flexibility is now available in selecting an incorporation date.
